(1) Job Responsibilities:
End-to-End Project Coordination: As the project lead, drive the entire M&A process from project initiation to closing; develop a detailed project execution plan that includes key milestones, responsible parties, and deliverable standards; and coordinate internal and external professional resources to ensure the project progresses according to the established timeline.
Due Diligence Coordination: Lead the design of a due diligence plan tailored to the characteristics of the Japanese market; coordinate third-party professional firms in both China and Japan—including legal, financial, tax, and industry-specific technical experts—to conduct in-depth, multi-dimensional due diligence; prioritize and assess core risk areas identified during due diligence, and develop targeted risk mitigation strategies.
Transaction Structuring and Valuation Design: Based on the actual conditions of the target company, Japanese regulatory requirements, and investors’ core demands, lead the design of a transaction structure that is compliant and cost-effective; coordinate valuation modeling efforts, identify a reasonable valuation range, and provide robust data support for commercial negotiations;
Agreement Negotiation and Closing Support: Lead negotiations on the commercial terms of acquisition-related agreements; coordinate with the company’s in-house legal team to ensure the compliance of negotiation outcomes; compile the full set of closing documents, establish a detailed closing execution timeline, and guide and drive compliance experts and integration managers to complete subsequent regulatory filings and closing procedures.
(2) Job Requirements:
Project Management Capabilities: Possess at least 3 years of hands-on experience managing the full lifecycle of cross-border M&A projects; be familiar with M&A transaction processes and mainstream operating models in the Japanese market; have served as a core member in medium-to-large-scale M&A projects in relevant industries in Japan; and be capable of independently coordinating the collaborative efforts of multidisciplinary teams.
Possess solid M&A expertise, including but not limited to due diligence frameworks, mainstream valuation models, transaction structuring logic, and M&A-related international tax rules and arrangements; be familiar with the constraints and requirements imposed by local regulatory laws, such as Japan’s Companies Act, on M&A transactions;
Third-Party Resource Network: Possess collaborative relationships with leading Japanese law firms, accounting firms, tax firms, and other professional service providers, and be able to quickly secure high-quality third-party services required for projects;
Basic Qualifications: Bachelor’s degree or higher, with a background in finance, accounting, law, or a related engineering field; experience studying or working long-term in Japan; fluent in business-level Japanese, with English as a working language; strong multitasking and coordination skills, cross-cultural negotiation skills, and the ability to work under pressure; willing to adapt to frequent international travel.
