Cross-Border M&A Compliance Specialist (Japanese Legal Affairs)
(1) Job Responsibilities:

Compliance Framework Design: Develop compliance roadmaps for transactions based on the actual circumstances of the project, in accordance with Japan’s “Foreign Investment Act,” “Companies Act,” and relevant regulatory provisions; conduct legal compliance due diligence on the target company to identify potential legal risks or historical compliance issues;

Due Diligence Support: Lead the legal due diligence process, coordinate with local Japanese attorneys, and verify the target’s corporate governance, legal compliance, core qualifications and intellectual property status, as well as the disclosure of key contracts and liabilities; compile a due diligence risk list, provide recommendations from a compliance perspective, and provide foundational support for transaction structuring;

Regulatory Filings and Document Review: Responsible for the full-cycle advancement and follow-up of regulatory filings for foreign investment in Japan, antitrust reviews, and other regulatory approvals, ensuring the project obtains no-objection letters or approval documents from regulatory authorities; lead the drafting, internal review, and negotiation support for M&A-related agreements, managing the legal risks of the transaction.

Compliance Support for Closing: Provide compliance support for project closings, including but not limited to the notarization of equity transfer documents, filing and reporting with relevant government agencies, amendments to the target company’s articles of incorporation, and legal documentation support for changes in key personnel; compile a checklist of key post-investment compliance management matters.


(2) Job Requirements:

Practical Compliance Experience: At least 3 years of experience working in a local Japanese law firm or in the legal department of a Sino-Japanese cross-border enterprise; familiarity with the practical application of Japan’s Foreign Investment Act, Companies Act, and M&A-related regulatory laws; experience as a core member participating in compliance support or legal due diligence for Sino-Japanese cross-border M&A projects; understanding of compliance priorities across various industries.

Professional Qualifications: Must have passed the National Judicial Examination, the Japanese Bar Examination, or hold specialized compliance certifications such as the Japanese International Commercial Law Qualification (BCT) or the JH2A Hydrogen Energy Compliance Certification; preference will be given to candidates with work experience at top-tier Japanese law firms or in the legal departments of leading Japanese companies, or those with relevant experience advising Chinese enterprises on M&A transactions involving Japanese companies.

Basic Qualifications: Bachelor’s degree or higher in law; candidates with a dual background in Chinese and Japanese commercial law are preferred; experience studying or working long-term in Japan; near-native proficiency in Japanese; fluent business-level English; strong sensitivity to compliance risks; and the ability to negotiate legal terms across cultural boundaries.
