Transaction Amount: 21.2 million RMB (100% equity)

XX Precision Industry Co., Ltd., a domestic private automotive parts manufacturer, has completed the acquisition of 100% equity in a local precision machining company in Shizuoka Prefecture, Japan. Established 42 years ago, the target company specializes in the stamping and precision machining of small automotive chassis components. It serves as a Tier 2 supplier to several Japanese automakers, possesses mature manufacturing processes and a stable local customer base, and employs 28 people.

The core motivation behind this transfer stems from a classic business succession challenge: the company’s 72-year-old president had children who were unwilling to return to their hometown to take over the manufacturing business. Guided by the Small and Medium Enterprise Agency’s third-party succession policy, the company sought an external successor through a local M&A platform—a Japanese policy-backed fund... The business remained consistently profitable with no significant debt but lacked a next-generation manager.

XX Precision Industries confirmed the value of the manufacturing processes and supply chain through due diligence and completed the transaction with an all-cash payment. Following the transaction, the original president was retained as an advisor for a two-year term, all core technical staff were retained, and no large-scale organizational changes were made. Post-investment, the company has, on the one hand, reverse-engineered the Japanese target’s advanced manufacturing processes for implementation in its domestic factories and, on the other hand, leveraged the cost advantages of the Chinese supply chain to help the Japanese company expand its parts export business to Chinese automakers.
