XX Health Industry Development Co., Ltd. Acquires a Portfolio of Assets Related to Hokkaido’s Senior Meal Delivery Service Business

XX Health Industry Development Co., Ltd. has completed the business transfer (asset acquisition model) of a meal delivery service for senior care facilities in Hokkaido. The target business serves 12 senior care facilities in Hokkaido, providing soft-textured meals and swallowing-friendly meal delivery services, and possesses central kitchen facilities, a well-established delivery network, and a stable client base of care facilities. The original operator, aged 71, had no successor and therefore chose to sell all business assets.


This transaction was structured as a business transfer rather than an equity acquisition to mitigate the risk of potential historical liabilities associated with the original company. Following the acquisition, all local frontline kitchen and delivery staff were retained, and the former business manager was hired as a business consultant for 18 months to ensure a smooth transition for the senior care facility clients. Additionally, a domestic pre-packaged food supply chain was introduced to optimize ingredient costs and improve the recipes for certain meal items.


This type of service-oriented business is a typical target in Japan’s business succession M&A market. A large number of local senior care service providers are exiting the market due to the advanced age of their operators, presenting opportunities for overseas investors.
